Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Verslay platform (“Service”), operated by Verslay (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Verslay is a SaaS platform that provides AI-powered business agents through a centralized dashboard and Model Context Protocol (MCP) server. The Service enables users to deploy specialized AI agents for tasks such as email management, competitive analysis, financial reporting, and other business operations.

The AI agents are powered by third-party AI models (currently Anthropic’s Claude). Verslay does not run AI models on its own infrastructure — it orchestrates agent behavior, manages business memory, and proxies authenticated requests to connected services.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain more than one account.

3. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to other users’ accounts or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to generate content that is harmful, abusive, or violates others’ rights.
  • Resell, redistribute, or sublicense access to the Service without written consent.
  • Attempt to extract, copy, or replicate proprietary agent instructions or directives.
  • Use automated tools to scrape, crawl, or access the Service beyond its intended interfaces.

4. AI-Generated Content

The Service uses artificial intelligence to generate content, recommendations, and analysis. You acknowledge and agree that:

  • AI outputs are not guaranteed to be accurate, complete, or error-free. You are responsible for reviewing and verifying all AI-generated content before relying on it.
  • AI-generated content does not constitute professional advice of any kind — including but not limited to legal, financial, medical, tax, or accounting advice.
  • You retain ownership of content you provide as input. Verslay does not claim ownership of your business data or AI-generated outputs.
  • We may use anonymized, aggregated usage data to improve the Service, but we will never sell or share your personal business data with third parties.

5. Connected Services

The Service allows you to connect third-party accounts (Google, HubSpot, and others) via OAuth. When you connect a third-party service:

  • You authorize Verslay to access and act on your behalf within the permissions you grant.
  • OAuth tokens are encrypted at rest using AES-256-GCM and stored securely.
  • You may disconnect any service at any time from your dashboard.
  • Verslay is not responsible for the availability, accuracy, or policies of third-party services.

6. Subscription Plans and Billing

  • The Service offers Free, Pro, and Enterprise plans with varying usage limits.
  • Plan limits (agent deployments, invocations) are enforced on a monthly cycle.
  • We reserve the right to modify pricing and plan features with 30 days’ notice to existing subscribers.
  • Refunds are handled on a case-by-case basis.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Key points:

  • Your business memory data is stored in a secure database with row-level security.
  • Only you can access your data — we enforce strict user isolation.
  • You may export or delete your data at any time.

8. API Keys

If you generate API keys for programmatic access, you are responsible for keeping them secure. API keys should be treated like passwords. If you believe a key has been compromised, revoke it immediately from your dashboard.

9. Intellectual Property

The Service, including its agent instructions, orchestration logic, skill definitions, and design, is the intellectual property of Verslay and is protected by applicable copyright and trade secret laws. You may not copy, modify, or distribute any proprietary components of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Verslay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

  • You may close your account at any time by contacting support.
  • We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service.
  • Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days before permanent deletion, unless legally required otherwise.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
